These general terms and conditions of sale (hereinafter "GTCS") govern all contractual relations between Fermelux S.à r.l., a limited liability company incorporated under Luxembourg law and having its registered office at Zone Industrielle Rolach, Hall 1, L-5280 Sandweiler (hereinafter "Fermelux" or "the Seller"), and any natural or legal person ordering garage doors, operators, accessories or associated services (hereinafter "the Customer").
Any order placed with Fermelux implies unreserved acceptance of these GTCS.
Any order is preceded by a free written quotation drawn up following a technical visit on site. The quotation specifies the designation of the equipment, quantities, unit prices, total amount incl. tax, the estimated delivery time and the payment terms.
The quotation is valid for 30 days from its date of issue. After this period, Fermelux reserves the right to revise its conditions.
The order is formed upon signature of the quotation by the Customer, together with payment of the deposit provided for in Article 4.
The prices indicated on quotations are expressed in euros, all taxes included (incl. tax), with Luxembourg VAT at the rate in force on the day of the order.
Prices include delivery, installation and commissioning throughout the Grand Duchy of Luxembourg, with no additional travel costs.
Unless otherwise stated in the quotation, the following are excluded: masonry, electrical, plastering and painting work and any adaptation of the existing support.
Unless a specific agreement is set out in the quotation, the standard terms are:
Deposit of 30 % upon order, by bank transfer.
Balance of 70 % at the end of the works, on the day of commissioning, by bank transfer or credit card.
Financing in several monthly instalments may be offered depending on the order amount, subject to acceptance of the application.
In the event of late payment, interest at the Luxembourg legal rate plus 5 points shall apply automatically, without prior formal notice, in accordance with the law of 18 April 2004 on payment deadlines.
Delivery times are given for information only. Fermelux endeavours to comply with them but cannot be held liable for any delay attributable to the manufacturer or third-party brand concerned, to the carrier or to a case of force majeure.
The Customer undertakes to clear access to the installation site and to prepare the support in accordance with the technical recommendations communicated. If non-compliance is noted on the day of installation, Fermelux reserves the right to postpone the intervention at the Customer's expense.
The acceptance of the works is declared on a contradictory basis by the signing of an end-of-works report. Any reservations must be noted therein in writing.
The goods delivered remain the exclusive property of Fermelux until full payment of the price by the Customer, as to principal and accessories. In the event of default in payment, Fermelux may repossess the goods at the Customer's expense.
The transfer of risks, however, takes place upon delivery to the site.
In accordance with the Luxembourg law of 2 April 2014 transposing Directive 2011/83/EU on consumer rights, a consumer contracting at a distance or off-premises has a withdrawal period of 14 days from the signing of the quotation.
This right does not apply to products made to the consumer's specifications or clearly personalised (e.g. custom-made doors, special colours, non-standard dimensions) — exception provided for in Article L.222-9 of the Luxembourg Consumer Code.

Legal warranty of conformity: the Customer benefits from the legal warranty of conformity provided for in Articles L.212-1 et seq. of the Luxembourg Consumer Code, for a period of 2 years from delivery.
Warranty against hidden defects: in accordance with Articles 1641 to 1649 of the Luxembourg Civil Code.
Manufacturer warranty: according to the terms specific to each manufacturer (typically 2-10 years on parts, 2-5 years on operators). Fermé-Lux warranty: 2 years on replaced parts and intervention labour, starting on the intervention date.
The warranty does not cover: normal wear and tear, damage due to lack of maintenance, damage resulting from non-compliant use, accidental impact, vandalism, natural disaster or intervention by an unauthorised third party.

An annual or biannual maintenance contract may be taken out to extend the life of your installation and benefit from priority intervention.
Fermelux's liability is limited to the amount actually paid by the Customer for the order concerned. Fermelux cannot be held liable for indirect, intangible or commercial damages (loss of operation, loss of turnover, etc.).
This limitation does not apply in the event of gross or intentional fault, or where the law prohibits it.
The personal data collected in connection with the order is processed in accordance with our privacy policy accessible from the footer of the site. The Customer has the rights of access, rectification, erasure and objection provided for by the GDPR.
These GTCS are governed by Luxembourg law. Any dispute relating to their interpretation or execution falls within the exclusive jurisdiction of the courts of the district of Luxembourg, subject to the special jurisdiction applicable to consumers.
Before any legal action, the parties undertake to seek an amicable solution. The consumer may also free of charge have recourse to a Luxembourg consumer mediator (Service national de médiation de la consommation, ULC).
Fermelux reserves the right to amend these GTCS at any time. The conditions applicable to an order are those in force on the date of signature of the quotation.
